RE: SD NETWORK ACCESS POINT PARTICIPATION AGREEMENT

The Center for Applied Internet Data Analysis (CAIDA) is a project of the University of California, San Diego (UCSD) with funding provided by the National Science Foundation (NSF) and collaborative support from participating Internet service providers and suppliers and other organizations.

1. Background and Purpose

The SD-NAP is hosted by CAIDA at the San Diego Supercomputing Center (SDSC) on the campus of UCSD, with support by SDSC and the Packet Clearing House (PCH). The purposes of the SD-NAP are to facilitate efficient interconnection of Internet Protocol transit networks within and to the San Diego Local Access and Transport Area, California LATA 6, and to provide a platform for traffic analysis by CAIDA researchers, with the goal of promoting a robust, scalable global Internet infrastructure. The terms and conditions for participation are as described below. Connection to the SD-NAP is open to all data network service providers and research and educational organizations whose networks use the conventions required for connection to the Global Internet, as defined by the Internet Engineering Task Force (IETF) in the specifications for interconnectivity called Request for Comment (RFC) The primary use of the facility is for BGP peering between organizations for the purpose of exchanging local traffic. Participants are permitting UCSD staff to analyze their Internet traffic data as part of the consideration for supporting SD-NAP.

2. Participation Period

SDSC operates 24 hours per day, every day, with no holidays, except for maintenance downtime. The initial participation period is twelve months from the last signature date of this agreement. This Participation Agreement will expire at the end of the first annual period, unless the Member renews participation by payment of the fee for subsequent annual period(s). However, because CAIDA is funded in part under an award from the National Science Foundation, the participation of UCSD and SDSC in SD-NAP will terminate on September 30, 2002, when NSF funding expires, unless renewed or extended in writing. No refunds will be made for participation fees paid beyond this period, unless this Participation Agreement has been modified accordingly.

4. Participation Levels and Annual Fees

The annual fee (listed below) covers one of three connection methods, to be selected by the participant at the time of connection:

Shared Remote Access - $1250.00 Annually

This connection method provides shared remote access via Pacific Bell's LATA 6 frame relay cloud. Members at this level are required to establish or already possess a frame relay port at their own site. This connection method includes one aggregated BGP peering session with all Multi-Lateral Peering Agreement (MLPA) participants, via the PCH route server.

Dedicated 10Base-T Ethernet Access at SD-NAP - $1250.00 Annually

This connection provides dedicated access at the SD-NAP facility through 10Base-T Ethernet Access. This connection method provides a half-duplex 10Base-T Ethernet port and 4U of 19" rack space for collocation of a participant-owned. BGP router and DSU. Additional U of rack space may be purchased from the SD-NAP if needed.

Shared 100-megabit FDDI Access or 100 megabit Full Duplex Ethernet Access at SDSC/SD-NAP- $3750.00 Annually

This connection provides shared 100mb FDDI access or 100 mb Full Duplex Ethernet Access at the SDSC facility, through a Single-Attach Station FDDI or Ethernet port and 10U of 19" rack space with approximately 3 amps of power for collocation of a participant-owned BGP router and DSU. Additional rack space may be purchased from the SD-NAP if needed.

Additional Rack Space

Members at level "b" or level "c" above may purchase additional rack space on an annual basis, for $1875.00 per 10U of 19" rack space, up to one rack. Additional rack space will be negotiated on case by case basis.

5. Participation Benefits and Responsibilities

In consideration for your non-refundable, annual Participation Fee, as set forth at the end of this agreement, your organization will be designated as a "SD-NAP Participant" and will receive the following benefits and assume the following responsibilities:

SDSC Space

Participants in the SD-NAP neutral interconnection facility may safely locate equipment in a climate-controlled, access-restricted area with conditioned power and 24-hour staffing available for rebooting equipment. Participants have escorted access to SD-NAP during normal SDSC working hours.

Meetings and Seminars

Participants will be invited to attend pre-scheduled CAIDA seminars and open technical presentations. Participants are also welcome to schedule tours of the SDSC facilities for their employees and their guests.

Peering

Participants must establish peering with at least one or more other NAP participant. This may be either bilateral or multilateral peering between network participants. It is recommended(and desired), though not required that all participants establish a peering session with the NAP route server. All peering connections with the SD-NAP must be implement with standard BGP-4 protocol. Private peering may utilize alternative protocols as specified in the private peering agreement. Participants agree to notify the SD-NAP of all peering arrangements.

Routing and Filtering

Participants are responsible for appropriately routing and filtering their customers' transit traffic as well as traffic which they originate themselves. For network connectivity via the Frame Relay cloud, PCH will assist with routing and inbound and outbound filtering, as appropriate. Participants may provide transit service to the SD-NAP on behalf of other networks. There is no restriction upon selling transit across the FDDI and Ethernet portions of the SD-NAP. Sale of transit across the frame relay portion is prohibited, however.

Serving Content

It is against the poicy of the SD-NAP to allow Particpants from serving content from equipment co-located at the NAP facility.

NAP Connections

All connections and cross connecitons for NAP participants are to be performed by NAP personnel only.

6. Indemnification

Each party agrees to defend, indemnify and hold the other party harmless from and against any and all liability, losses, expenses, attorneys' fees, or claims for injury or damages arising out of the performance of this agreement but only in proportion to and to the extent such liability, loss, expense, attorneys' fees, or claims for injury or damages are caused by or result from the negligent or intentional acts or omissions of the indemnifying party, its officers, agents, or employees.

7. Limitation of Liability

UCSD will exercise reasonable care to provide goods and/or establish and maintain services hereunder to Participant without error, interruption, or termination, however UCSD is not liable for any damages resulting from or arising out of such errors, interruptions or termination of services, regardless of foreseeability or notice from Participant, including but not limited to damages resulting from loss of data, loss of anticipated profits or any special, indirect, incidental or consequential damages. Except as provided above, UCSD IS PROVIDING THE GOODS AND SERVICES HEREUNDER ON AN "AS IS" BASIS WITH NO WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

8. Termination and Surviving Obligations

Upon expiration or termination of this Agreement for any cause, the forgoing obligations of confidentiality shall continue for a period of two years.

9. Proprietary Data Ownership/Data Confidentiality

The terms and conditions for ownership of proprietary data and data confidentiality are set forth in the attached "Collaborative Research and Proprietary Ownership Agreement, (version 1.3 dated September, 1999), which is incorporated herein by reference.

10. No Assignment

Member may not delegate, assign or otherwise transfer any duty, right or interest hereunder in any manner without the prior written consent of the University, and any effort to the contrary shall be void.
